Terms of service for using BookedUp

The BookedUp platform and services are intended solely for users who are 18 years of age or older. By creating an account, accessing, or using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are under 18, you may not use our services.
1. Agreement to Terms
By accessing or using BookedUp ("the Service"), you ("Subscriber") agree to be bound by these Terms and Conditions ("Terms"). These Terms govern the B2B subscription relationship between BookedUp and the business entity or individual registering for the Service. If you do not agree, you may not use the Service.
These Terms should be read alongside our Privacy Policy and, for enterprise Subscribers requiring formal data processing terms, our Data Processing Agreement (DPA).
2. Service Description
BookedUp is a B2B AI-powered receptionist platform for service businesses. The Service enables Subscribers to automate missed-call follow-up, appointment booking, and customer communications. Specific capabilities include:
- Automated SMS responses to missed calls on the Subscriber's behalf
- AI-generated, customizable text message templates
- Appointment booking and calendar management
- Customer communication history and dashboard analytics
- Appointment reminders and follow-up automations
BookedUp acts as a technology service provider. The Subscriber remains the business communicating with its own customers — BookedUp provides the infrastructure and automation tools to do so efficiently.
3. Subscription Plans and Pricing
3.1 Available Plans
- Starter Plan — $49/month: Core AI receptionist features, automated SMS text-back on missed calls, appointment booking, customer dashboard, and basic analytics. Suitable for single-location service businesses.
- Pro Plan — $99/month: All Starter features plus advanced analytics, priority support, extended conversation history, and enhanced AI customization. Suited for multi-staff or higher-volume businesses.
3.2 Free Trial
We offer a 7-day free trial with no credit card required. During the trial, you have full access to your selected plan's features. After 7 days, the trial ends and you must subscribe to continue using the Service. There is no automatic charge at trial end — a subscription requires explicit payment setup.
3.3 Billing and Renewal
Subscriptions are billed monthly in advance from the date of subscription activation. By subscribing, you authorize BookedUp to charge your payment method on a recurring monthly basis. Prices are subject to change with at least 30 days' advance written notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.
3.4 Taxes
Subscription fees are exclusive of applicable taxes. Subscribers are responsible for all applicable sales, use, VAT, or similar taxes arising from their subscription.
4. Account Registration and Subscriber Responsibilities
To use BookedUp, the Subscriber must:
- Provide accurate, current, and complete registration information, including a valid business name and contact details
- Maintain the security of account credentials; BookedUp is not liable for losses resulting from unauthorized account access
- Ensure that authorized users comply with these Terms
- Be at least 18 years old and have authority to bind the subscribing business entity to these Terms
- Operate a legitimate business and use the Service only for lawful business communications
The Subscriber is responsible for all activity conducted under their account.
5. Subscriber Responsibilities for End Customer Communications
BookedUp operates as a service provider sending communications on the Subscriber's behalf. The Subscriber is the sender of record and retains full legal responsibility for all customer communications facilitated through BookedUp, including:
5.1 Consent and TCPA Compliance
The Subscriber is solely responsible for ensuring it has obtained all required prior express written consent from End Customers to receive automated SMS messages under the Telephone Consumer Protection Act (TCPA), applicable state mini-TCPA laws, and any other telecommunications regulations. BookedUp does not verify or audit Subscriber consent records.
5.2 Time-of-Day Restrictions
The Subscriber agrees not to use BookedUp to send promotional or non-emergency automated messages outside of legally permissible hours in the recipient's time zone (generally 8:00 AM to 8:00 PM local time), unless the recipient has explicitly requested after-hours communication.
5.3 AI Transparency and Bot Disclosure
To comply with state laws regarding automated communications (including California's Bolstering Online Transparency Act and similar statutes), Subscribers must not configure BookedUp's AI to falsely claim it is a human employee. Subscribers agree to maintain any default AI disclosure language provided by BookedUp. Subscribers may customize message tone and templates but may not direct the AI to deceive End Customers about its automated nature.
5.4 Prohibited Uses
Subscribers agree NOT to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose
- Send spam, unsolicited messages, or messages in violation of anti-spam laws (CAN-SPAM, CASL, etc.)
- Use the Service to harass, threaten, or abuse End Customers or any person
- Transmit protected health information (PHI) through the platform (see Section 7 — HIPAA Disclaimer)
- Impersonate another person, entity, or brand
- Attempt to reverse-engineer, scrape, or disrupt the Service
- Resell or sublicense the Service to third parties without written permission
BookedUp reserves the right to suspend or terminate any account found to be in violation of applicable communication laws or these Terms.
6. Data Ownership
6.1 Subscriber Data
Subscribers retain full ownership of all data they upload, configure, or generate within the platform ("Subscriber Data"), including End Customer contact information, conversation history, and appointment records. BookedUp does not claim ownership of Subscriber Data.
6.2 BookedUp's Limited License
The Subscriber grants BookedUp a limited, non-exclusive, non-transferable license to access and process Subscriber Data solely to the extent necessary to deliver the Service as described in these Terms and the Data Processing Agreement.
6.3 Data Upon Cancellation
Upon account cancellation, BookedUp will make Subscriber Data available for export for 30 days following the effective cancellation date. After this period, Subscriber Data will be deleted from active systems in accordance with our Privacy Policy and DPA. Subscribers are encouraged to export their data prior to cancellation.
6.4 Aggregated and Anonymized Data
BookedUp may use anonymized, aggregated, non-identifiable usage data (e.g., feature adoption rates, system performance metrics) for product improvement and business analytics. This data cannot be used to identify any individual Subscriber or End Customer.
7. HIPAA Disclaimer
BookedUp is NOT a HIPAA-covered entity and is NOT HIPAA-compliant. Subscribers operating in healthcare verticals — including dental, medical, mental health, and related fields — must not transmit protected health information (PHI) through BookedUp's text-back, messaging, or booking systems under any circumstances. BookedUp expressly disclaims all liability for any protected health information transmitted through the platform. By using BookedUp, you acknowledge this limitation and agree not to use the Service to store, process, or transmit PHI as defined under the Health Insurance Portability and Accountability Act (HIPAA) and applicable state health privacy laws.
8. AI Communication & Accuracy
8.1 AI-Generated Messages
BookedUp's AI generates text messages on the Subscriber's behalf. While we strive for accuracy, AI systems are automated and may occasionally produce inaccurate, incomplete, or unintended content ("hallucinations"). BookedUp is not liable for any misquotes, incorrect pricing, or commitments made by the AI to End Customers. It is the Subscriber's responsibility to regularly review AI conversation logs in their dashboard and correct any misinformation directly with their clients.
8.2 Calendar and Booking Accuracy
BookedUp integrates with third-party calendar applications to schedule appointments. BookedUp is not responsible for double-bookings, missed appointments, or lost revenue resulting from: (a) the Subscriber's failure to maintain an up-to-date connected calendar; (b) sync delays from third-party calendar providers; or (c) AI scheduling errors. Subscribers should regularly review their BookedUp dashboard alongside their primary calendar.
9. Payment, Refunds, and Billing Disputes
All payments are processed securely through Stripe. BookedUp does not store payment card numbers. Invoices are issued monthly and sent to the Subscriber's registered email address.
- No partial-month refunds: Subscription fees are non-refundable for partial billing periods. If you cancel mid-month, you retain access until the end of the current billing cycle; no prorated refund is issued.
- Failed payments: If a payment fails, BookedUp will attempt to collect on the next billing cycle. Accounts with persistent failed payments may be suspended after reasonable notice.
- Billing disputes: Any billing disputes must be raised within 60 days of the charge by contacting support@bookedup.com. We will investigate and respond within 10 business days.
- Free trial: No charges are incurred during the 7-day free trial. A paid subscription requires explicit payment setup by the Subscriber.
10. Cancellation and Termination
10.1 Subscriber's Right to Cancel
Subscribers may cancel their subscription at any time through their account settings or by contacting support. Cancellation takes effect at the end of the current billing period. There are no cancellation fees. Post-cancellation, the Subscriber's access continues until the end of the paid period.
10.2 BookedUp's Right to Suspend or Terminate
BookedUp may suspend or terminate a Subscriber's account immediately if the Subscriber:
- Violates these Terms or applicable law
- Engages in fraudulent, abusive, or illegal activities using the Service
- Uses the Service in a manner that exposes BookedUp to legal or regulatory liability
- Fails to pay subscription fees after reasonable notice
Where practicable, BookedUp will provide prior written notice before termination except in cases of material breach, legal obligation, or risk to other users.
10.3 Effect of Termination
Upon termination, the Subscriber's access to the Service ends immediately (or at end of billing period for voluntary cancellations). Subscriber Data export is available for 30 days post-termination per Section 6.3.
11. Acceptable Use
The Service is designed for legitimate service businesses. Acceptable use includes managing inbound missed calls, booking appointments, and sending relevant business communications to existing or prospective customers who have engaged with the Subscriber's business. The Service may not be used for cold-call text-blast campaigns, debt collection, political messaging, gambling, or any use that violates TCPA or applicable telemarketing regulations.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- BookedUp is provided "AS IS" without warranties of any kind, express or implied
- We do not warrant uninterrupted, error-free, virus-free, or 100% secure service
- BookedUp is not liable for any indirect, punitive, incidental, special, or consequential damages, including lost profits, lost revenue, lost data, or loss of business arising from your use of or inability to use the Service
- BookedUp's maximum aggregate liability to a Subscriber for any claims arising from or related to these Terms shall not exceed the total subscription fees paid by that Subscriber in the twelve (12) months immediately preceding the event giving rise to the claim
- BookedUp is not liable for actions, errors, or omissions of third-party services (Twilio, Stripe, OpenAI, calendar providers) integrated with the platform
13. Indemnification
The Subscriber agrees to indemnify, defend, and hold harmless BookedUp, its founders, employees, and affiliates from and against any claims, damages, losses, penalties, fines, or expenses (including reasonable legal fees) arising from:
- The Subscriber's use or misuse of the Service
- The Subscriber's violation of these Terms or applicable law
- Any claims by End Customers relating to SMS messages sent on the Subscriber's behalf
- The Subscriber's violation of any third party's rights
- TCPA violations or regulatory fines resulting from the Subscriber's failure to obtain proper consent
14. Data and Privacy
Use of the Service is governed by our Privacy Policy. Enterprise Subscribers that require a formal data processing agreement may request execution of our standard Data Processing Agreement (DPA) by contacting privacy@bookedup.app.
15. Third-Party Services
BookedUp integrates with third-party providers including Twilio (SMS), Stripe (payments), OpenAI (AI inference), and calendar providers. These providers operate under their own terms and privacy policies. BookedUp is not responsible for the availability, accuracy, or conduct of third-party services.
16. Intellectual Property
BookedUp and its platform, software, content, branding, and documentation are the intellectual property of BookedUp and its licensors, protected by copyright, trademark, and other laws. Subscribers receive a limited, non-exclusive, non-transferable license to use the Service during the subscription term. Subscribers may not copy, modify, reverse-engineer, resell, or sublicense any part of the Service without prior written consent.
17. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
18. Entire Agreement
These Terms, together with our Privacy Policy and any executed Data Processing Agreement, constitute the entire agreement between BookedUp and the Subscriber regarding use of the Service. They supersede all prior negotiations, representations, warranties, or agreements relating to the same subject matter.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Indiana, United States, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in Vanderburgh County, Indiana. The Subscriber consents to the exclusive jurisdiction of such courts.
20. Changes to Terms
BookedUp may update these Terms from time to time. Material changes will be communicated to Subscribers via email and/or prominent notice within the dashboard. The updated Terms will be effective 14 days after notice is provided. Continued use of the Service after that date constitutes acceptance of the revised Terms.
